These Terms of Service (“Terms”) govern your access to and use of EzMosaic websites, software, products, and services (collectively, the “Service”). “EzMosaic,” “we,” “us,” and “our” refer to the provider of the relevant Service.
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Accounts
Some features may require an account. You agree to provide accurate information and keep your account information reasonably up to date.
You are responsible for maintaining the confidentiality of your account credentials and for activities conducted through your account, except to the extent that applicable law provides otherwise. Please notify us promptly if you believe your account has been accessed without authorization.
We may restrict or suspend accounts where reasonably necessary to protect the Service, users, or our legal rights, or where you materially violate these Terms.
2. Acceptable Use
You may use the Service only in compliance with applicable laws and these Terms. You must not:
- Use the Service for unlawful, fraudulent, deceptive, or harmful purposes.
- Infringe another person’s intellectual property, privacy, or other legal rights.
- Attempt to disrupt, damage, overload, or gain unauthorized access to the Service or its systems.
- Reverse engineer, decompile, or attempt to extract source code from the Service, except to the extent such restrictions are prohibited by applicable law.
- Circumvent technical restrictions, usage limits, access controls, or payment requirements.
- Use the Service to distribute malicious code or interfere with other users’ access.
- Resell, sublicense, or commercially exploit access to the Service except as expressly permitted by us or applicable law.
We may investigate suspected violations and take reasonable action to protect the Service and its users.
3. User Content and Intellectual Property
3.1 Your Content
“User Content” means files, images, data, text, and other materials you submit to or process through the Service.
As between you and EzMosaic, you retain your rights in your User Content. You are responsible for ensuring that you have the rights and permissions needed to use it with the Service.
You authorize us to process your User Content only as reasonably necessary to provide, maintain, secure, and support the features you use, in accordance with the applicable product features, these Terms, and our Privacy Notice.
3.2 Generated Outputs
Subject to applicable law and the rights of third parties, you may use outputs generated through the Service. We do not represent that every output will be unique, protectable by intellectual property law, or free of third-party rights.
You are responsible for reviewing outputs and determining whether your intended use is lawful and appropriate.
3.3 EzMosaic Intellectual Property
The Service, including its software, design, branding, documentation, and underlying technology, is owned by or licensed to EzMosaic and is protected by applicable intellectual property laws.
Except for the rights expressly granted to you under these Terms, no rights in the Service are transferred to you.
3.4 Feedback
If you provide suggestions, ideas, or feedback about the Service, you grant us permission to use and incorporate that feedback without restriction or compensation, to the extent permitted by law.
3.5 Third-Party Rights and Claims
You must not submit or use User Content in a way that infringes another person’s rights. You are responsible for claims arising from your User Content or your use of generated outputs, to the extent provided by applicable law.
4. Fees, Credits, and Payments
Certain features may require payment, Credits, a subscription, or a combination of payment models. Available billing options depend on the product and plan you choose.
Applicable pricing, payment terms, subscription renewals, Credit purchases and usage, expiration rules, cancellations, and refunds are described in the relevant product interface and our Billing Policy.
You agree to pay the fees applicable to the purchases you make. Please review the applicable price, billing model, and purchase conditions before completing a transaction.
Payments may be processed by third-party payment providers, whose terms and privacy practices may also apply. All billing arrangements are subject to applicable law.
5. Privacy and Data Storage
Our handling of personal information is described in the EzMosaic Privacy Notice.
Storage and retention practices may differ by product and feature. The Project File Temporary Storage Rules apply specifically to eligible output files generated through the web version, as described in those Rules. Desktop-client output files are stored locally on your device and are outside the scope of those Rules.
Some products may offer additional online storage features or handle feature data differently. Where applicable, consult the product-specific terms or storage policies.
You are responsible for downloading and keeping your own copies of important files. Unless a product expressly provides otherwise, the Service should not be treated as a permanent archive or backup service.
6. Third-Party Services
The Service may rely on, integrate with, or link to third-party websites, software, or services. We do not control third-party services and are not responsible for their independent content, availability, or practices.
Your use of third-party services may be subject to their own terms and privacy policies.
7. Availability and Changes to the Service
We may add, modify, suspend, or discontinue features from time to time for operational, technical, security, or business reasons.
We do not guarantee that the Service will always be available, uninterrupted, error-free, or compatible with every device or operating environment. We will take reasonable steps to maintain the Service, but some interruptions or changes may be necessary.
Where required by applicable law, we will provide notice or obtain consent before making relevant changes.
8. Disclaimers and Limitation of Liability
To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will meet every requirement, that generated outputs will be accurate or suitable for a particular purpose, that files will always be available, or that all defects will be corrected.
To the maximum extent permitted by applicable law, EzMosaic will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business opportunities, data, or goodwill arising from or related to your use of or inability to use the Service.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law. These Terms do not affect any mandatory rights you may have as a consumer.
9. Suspension and Termination
You may stop using the Service at any time. Where account cancellation is available, you may request it using the contact details in these Terms or through the relevant product interface.
We may suspend or terminate access to some or all of the Service where reasonably necessary because of a material breach of these Terms, security risks, unlawful activity, legal requirements, or discontinuation of the relevant Service.
Upon termination, your right to use the affected Service ends. Provisions that by their nature should continue to apply after termination will survive, including provisions concerning intellectual property, disclaimers, liability, and interpretation.
Termination does not automatically guarantee the recovery or continued availability of files. File handling after termination remains subject to the applicable product features, storage policies, and legal requirements.
10. Changes to These Terms
We may update these Terms from time to time. We will publish the updated Terms and revise the Effective Date. Where required by law, we will provide additional notice or obtain consent.
Your continued use of the Service after updated Terms take effect constitutes acceptance of the updated Terms to the extent permitted by applicable law. If you do not agree, you should stop using the affected Service.
11. Governing Law and Disputes
These Terms are governed by the laws of Hong Kong, without regard to conflict-of-law principles, except where mandatory law requires otherwise.
Any dispute arising from these Terms or the Service will be handled by the competent courts of Hong Kong, unless applicable law grants you the right to bring proceedings in another jurisdiction or otherwise requires a different forum.
Nothing in this section limits mandatory consumer protections or other rights that cannot lawfully be waived.
12. General Provisions
12.1 Relationship Between Policies
These Terms should be read together with the EzMosaic Privacy Notice, Billing Policy, and any applicable product-specific policies, including the Project File Temporary Storage Rules.
These Terms govern general use of the Service. The Privacy Notice explains our handling of personal information. Product-specific policies govern the particular features or practices they expressly cover. If provisions conflict, the policy specifically addressing the relevant subject matter will govern that subject matter to the extent permitted by applicable law.
12.2 Entire Agreement
These Terms and the policies incorporated by reference constitute the agreement between you and EzMosaic concerning your use of the relevant Service, subject to any additional terms presented for a particular product or transaction.
12.3 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
12.4 No Waiver
A failure or delay in enforcing a provision does not constitute a waiver of that provision.
12.5 Assignment
You may not assign your rights or obligations under these Terms without our consent, except where prohibited by applicable law. We may assign or transfer our rights and obligations in connection with a business reorganization, merger, acquisition, or transfer of the relevant Service, subject to applicable law.
12.6 Language
If these Terms are translated into another language, the English version will prevail in the event of a discrepancy, to the extent permitted by applicable law.
